BINDING EFFECT; DELEGATION OF DUTIES PROHIBITED. This Agreement shall inure to the benefit of, and shall be binding upon, the parties hereto and their respective successors, assigns, heirs, and legal representatives, provided, however, that this Agreement may be assigned by Employer only with the prior written consent of Employee, which consent shall not be unreasonably withheld. The duties and covenants of Employee under this Agreement, being personal, may not be delegated.
