Common use of Binding Effect; Enforceability Clause in Contracts

Binding Effect; Enforceability. This Agreement has been duly executed and delivered by the Company, and this Agreement constitutes the legal, valid and binding obligations of the Company enforceable against the Company in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency or other similar laws affecting the enforcement of creditors’ rights generally and by general principles of equity relating to enforceability.

Binding Effect; Enforceability. This Agreement has been duly and validly executed and delivered by the Company, Shareholders and this Agreement constitutes the legal, valid and binding obligations obligation of Shareholders and the Company enforceable against the Company Shareholders in accordance with its terms, except as to the extent that enforceability may be limited by applicable bankruptcy, insolvency insolvency, reorganization, moratorium or other similar laws relating to or affecting the enforcement of creditors’ ' rights generally and by general principles principals of equity, including, without limitation, concepts of materiality, reasonableness, good faith and fair dealing (regardless of whether considered in a proceeding in equity relating to enforceabilityor at law).
