Binding Effect of Other Agreements. At the Closing Time, each agreement contemplated to be executed and delivered hereunder by the Purchaser at or before the Closing Time will have been duly authorized, executed and delivered by the Purchaser and will constitute a legal, valid and binding obligation of the Purchaser.
