Common use of Binding Effect; Ratification Clause in Contracts

Binding Effect; Ratification. (a) On and after the execution and delivery hereof, (i) this Amendment shall be a part of the Receivables Sale Agreement and (ii) each reference in the Receivables Sale Agreement to “this Agreement”, “hereof”, “hereunder” or words of like import, and each reference in any other Related Document to the Receivables Sale Agreement, shall mean and be a reference to such Receivables Sale Agreement as amended hereby. (b) Except as expressly amended hereby, the Receivables Sale Agreement shall remain in full force and effect and is hereby ratified and confirmed by the parties hereto.

Binding Effect; Ratification. (a) On and after the execution and delivery hereof, (i) this This Amendment shall become effective, as of the date first set forth above, when counterparts hereof shall have been executed and delivered by the parties hereto, and thereafter shall be a part of binding on the parties hereto and their respective successors and assigns. (b) The Receivables Sale Agreement, as amended hereby, remains in full force and effect. Any reference to the Receivables Sale Agreement from and (ii) each reference in after the Receivables Sale Agreement date hereof shall be deemed to “this Agreement”, “hereof”, “hereunder” or words of like import, and each reference in any other Related Document refer to the Receivables Sale Agreement, shall mean and be a reference to such Receivables Sale Agreement as amended hereby, unless otherwise expressly stated. (bc) Except as expressly amended hereby, the Receivables Sale Agreement shall remain in full force and effect and is hereby ratified and confirmed by the parties hereto.

(b) Except as expressly amended hereby, the Receivables Participation Interest Sale Agreement shall remain in full force and effect and is hereby ratified and confirmed by the parties hereto.

(bc) Except as expressly amended hereby, all provisions of the Receivables Sale and Servicing Agreement shall remain in full force and effect and is are hereby ratified and confirmed by the parties hereto.
