Common use of Binding Effect Clause in Contracts

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

The term “successors and assigns” shall not include a purchaser, in its capacity as such, No purchaser of securities from any of the UnderwritersShares from the Underwriters shall be deemed a successor or assign by reason merely of such purchase.

This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company Company, and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the UnderwritersUnderwriter, the Company and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the UnderwritersUnderwriter.

The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling persons, directors and officers referred to in Section 5 6 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Underwriting Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling personsControlling Persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Underwriting Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the UnderwritersUnderwriter, the Company and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the UnderwritersUnderwriter.

Binding Effect. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the UnderwritersUnderwriter.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the RepresentativeUnderwriter, the UnderwritersChardan, the Company and the controlling personsControlling Persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the UnderwritersUnderwriter.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company Company, the Selling Stockholder and the controlling personsControlling Persons, directors and officers referred to in Section 5 7 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect.
