Binding Effort; Governing Law. Jurisdiction and Venue. Any action or proceeding on the Agreement by or against PRI shall be initiated and maintained under the jurisdiction of the State of California with venue in the courts of Orange County, in which case this Agreement shall be construed and governed by the laws of the State of California.
