Binding Obligations, Etc. This Agreement has been duly executed and delivered by Borrower and constitutes, and the other Loan Documents when duly executed and delivered by Borrower or any Guarantor will constitute, the legal, valid and binding obligations of Borrower or Guarantor enforceable against Borrower or Guarantor in accordance with their respective terms except as such enforceability may be limited by applicable bankruptcy, insolvency, or similar laws affecting the enforcement of creditors’ rights generally or by the exercise of judicial discretion in accordance with general principles of equity.
