Common use of Binding Obligations Clause in Contracts

Binding Obligations. Subject to the Legal Reservations: (a) the obligations expressed to be assumed by it in each Transaction Document to which it is a party are legal, valid, binding and enforceable obligations; and (b) (without limiting the generality of paragraph (a) above), each Transaction Security Document to which it is a party creates the security interests which that Transaction Security Document purports to create and those security interests are valid and effective.

Binding Obligations. Subject to the Legal Reservations: (a) the obligations expressed to be assumed by it each of the Security Parties in each Transaction Document of the Relevant Documents to which it is a party are legal, valid, binding and enforceable obligations; and (b) (without limiting the generality of paragraph (aClause 19.1.2(a)) above), each Transaction Security Document to which it is a party creates the security interests which that Transaction Security Document purports to create and those security interests are valid and effective.

Subject to the Legal Reservations: (a) the obligations expressed to be assumed by it in each Transaction Note Document to which it is a party are legal, valid, binding and enforceable obligations; and (b) (without limiting the generality of paragraph (a) aboveSection 5.2(a)), each Transaction Security Document to which it is a party creates the security interests Security which that Transaction Security Document purports to create and those security interests are that Security is valid and effective.

Subject to the any applicable Legal Reservations: (a) the obligations expressed to be assumed by it in each Transaction Finance Document to which it is a party are legal, valid, binding and enforceable obligations; and (b) (without limiting the generality of paragraph (a) above), each Transaction Security Document to which it is a party creates the security interests which that Transaction Security Document purports to create and those security interests are valid and effectiveeffective subject to any applicable Perfection Requirements.

Subject to the Legal Reservations: (a) the obligations expressed to be assumed by it and each other Relevant Subsidiary in each Transaction Document Finance Documents to which it is a party are legal, valid, binding and enforceable obligations; and (b) (without limiting the generality of paragraph (a) aboveclause 18.2(a)), each Transaction Security Document to which it is a party creates the security interests which that Transaction Security Document purports to create and those security interests are valid and effective.
