Common use of Binding Successors Clause in Contracts

Binding Successors. Without limiting any other rights Parent may have hereunder in respect of any Transfer of the Covered Shares, Stockholder agrees that this Agreement and the obligations hereunder shall attach to the Covered Shares beneficially owned by Stockholder and shall be binding upon any Person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, Stockholder’s heirs, guardians, administrators, Representatives, successors or permitted assigns.

Binding Successors. Without limiting any other rights Parent may have hereunder in respect of any Transfer of the Covered Shares, each Stockholder agrees that this Agreement and the Proxy and the obligations hereunder and thereunder shall attach to the Covered Shares beneficially owned by such Stockholder and its affiliates and shall be binding upon any Person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law Law or otherwise, including, without limitation, including such Stockholder’s heirs, guardians, administrators, Representatives, successors administrators or permitted assignssuccessors.

Binding Successors. Without limiting any other rights Parent may have hereunder in respect of any Transfer of the Covered SharesShares prior to the Termination Date, Stockholder agrees that this Agreement and the Proxy and the obligations hereunder and thereunder shall attach to the Covered Shares beneficially owned Beneficially Owned by Stockholder and shall be binding upon any Person person to which legal or beneficial ownership Beneficial Ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, Stockholder’s heirs, guardians, administrators, Representatives, successors administrators or permitted assignssuccessors.

Without limiting any other rights Parent may have hereunder in respect of any Transfer of the Covered Shares, each Stockholder agrees that this Agreement and the applicable Proxy and the obligations hereunder and thereunder shall attach to the Covered Shares beneficially owned by such Stockholder and its Affiliates and shall be binding upon any Person person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, such Stockholder’s heirs, guardians, administrators, Representatives, successors representatives or permitted assignssuccessors.

Without limiting any other rights Parent may have hereunder in respect of any Transfer (including Exempt Transfer) of the Covered Shares, Stockholder agrees that this Agreement and the obligations hereunder shall attach to the Covered Shares beneficially owned by Stockholder and its Affiliates and shall be binding upon any Person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, Stockholder’s heirs, guardians, administrators, Representatives, successors or permitted assigns.

Without limiting any other rights Parent Purchaser may have hereunder in respect of any Transfer of the Covered Shares, each Stockholder agrees that this Agreement and the obligations hereunder shall attach to the Covered Shares beneficially owned by such Stockholder and shall be binding upon any Person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, such Stockholder’s heirs, guardians, administrators, Representatives, successors administrators or permitted assignssuccessors.

Without limiting any other rights Parent may have hereunder in respect of any Transfer of the Covered Shares, Stockholder Shareholder agrees that this Agreement and the obligations hereunder shall attach to the Covered Shares beneficially owned by Stockholder such Shareholder and its controlled Affiliates and shall be binding upon any Person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, StockholderShareholder’s heirs, guardians, administrators, Representatives, successors representatives or permitted assignssuccessors.

Without limiting any other rights Parent the Stockholder may have hereunder in respect of any Transfer of the Covered Shares, Stockholder agrees the Parent Holders agree that this Agreement and the obligations hereunder shall attach to the Covered Shares beneficially owned by Stockholder the Parent Holders and their respective affiliates and shall be binding upon any Person person to which legal or beneficial ownership of such Covered Shares shall pass, whether by operation of law or otherwise, including, without limitation, Stockholderthe Parent Holder’s heirs, guardians, administrators, Representatives, successors representatives or permitted assignssuccessors.
