Binding Terms and Conditions. 2.1. This Agreement shall apply to all contracts for the purchase of Goods or Services by Ingredion from the Supplier to the exclusion of any terms and conditions of any other materials which the Supplier may purport to apply or which are endorsed upon any correspondence or documents issued by the Supplier irrespective of their date of communication to Ingredion.
2.2. The parties may, but are not obliged to, enter into a separate written agreement relating to the ongoing supply of Goods or Services by the Supplier to Ingredion. Where the parties have signed such a separate written agreement that incorporates, includes or refers to this Agreement, this Agreement will include that written agreement. The order of precedence between this Agreement and the specific written agreement will be as specified in that written agreement, but if no order of precedence is specified, then the terms of that written agreement will prevail over this Agreement to the extent of any inconsistency.
2.3. The acceptance of a Purchase Order by the Supplier constitutes acceptance of this Agreement. The acceptance of a Purchase Order by the Supplier shall be made by a confirmation letter or performance. If the Supplier fails to send a written reply within seven (7) business days from receipt of Purchase Order, the Supplier shall be deemed to accept the order.

The only terms and conditions which are binding upon Supplier in relation to the supply of goods and services to Customer are those set out in these terms and conditions, or as otherwise agreed to in writing by Supplier in which case those terms and conditions will prevail over these terms and conditions, and those terms, if any, which are imposed by law and which cannot be excluded.

The GCPP contains original content generated by us. These Terms contain provisions governing your use of Takshashila’s website, GCPP course material, and other ancillary products and services ("Services"). It shall be assumed that you have read and agreed to be bound by these Terms.
b. These terms and conditions shall constitute an “electronic record” and information communicated in “electronic form” as defined under the Information Technology Act, 2000 and the rules framed thereunder. You agree and acknowledge that this information in electronic form does not require any physical copy or signature.
c. These Terms constitute the terms and conditions required to be communicated by Takshashila to its users under Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.
Binding Terms and Conditions. (1) Subject to subclause 2(4), this Agreement constitutes the whole agreement between the parties.
(2) No terms or conditions of Customer, including any terms or conditions printed on or referred to in Customer’s offer to purchase or order will form part of this Agreement.
(3) The Supplier may update or vary these terms in accordance with clause 19.9.
(4) If there is any conflict between this Agreement and any amendment or variation expressly agreed to in writing by the parties, the terms of the amendments or variations will prevail.
(5) For the avoidance of doubt, this clause does not exclude any terms imposed by law which cannot be excluded.

2.3 The Buyer and Seller agree that these terms and conditions apply to the goods and services described in the table above and to every order for other goods and services by the Buyer which is accepted by the Seller, to the exclusion of the Buyer’s terms and conditions of purchase or any other document.
