Blocked Person or Transactions Clause Samples

The 'Blocked Person or Transactions' clause prohibits parties from engaging in transactions with individuals, entities, or countries that are subject to government sanctions or restrictions. In practice, this means that before entering into or continuing a business relationship, parties must ensure that none of the involved parties are listed on government-maintained sanctions lists, such as those maintained by the U.S. Treasury's Office of Foreign Assets Control (OFAC). This clause serves to ensure compliance with applicable laws and regulations, protecting the parties from legal penalties and reputational harm associated with prohibited dealings.
