Board Approval of the Plan. The Plan was approved by the Trust’s Board of Trustees, including a majority of the Trustees who are not interested persons thereof (the “Independent Trustees”), as defined in the Investment Company Act of 1940, at a Board meeting held on August 15, 2018 (the “Meeting”). As reflected in the resolutions of the Meeting, the Board of Trustees, including a majority of the Independent Trustees, determined the Plan to be in the best interests of the Fund and its shareholders.
