Board Discretion Clause Samples
The Board Discretion clause grants the board of directors the authority to make decisions or take actions at their own judgment within the scope of the agreement or company policies. In practice, this means the board can interpret ambiguous provisions, approve exceptions, or determine the best course of action in situations not explicitly covered by the contract. This clause ensures flexibility in governance and allows the board to respond effectively to unforeseen circumstances, ultimately providing a mechanism for efficient decision-making and risk management.
