Common use of Board of Directors of Surviving Corporation Clause in Contracts

Board of Directors of Surviving Corporation. The Board of Directors of the Surviving Corporation shall consist of the Board of Directors of Merger Sub, as it existed immediately prior to the Effective Time, until changed in accordance with applicable law. Each of the members of the Board of Directors of the Company shall tender his or her resignation as a director of the Company, to be effective at the Effective Time.

Board of Directors of Surviving Corporation. The Board of Directors of the Surviving Corporation shall consist of Xxxxxxx X. Brand and Xxxxxx X. Xxxxxx, who shall serve until their successors have been duly elected or appointed and qualify in the Board manner provided in the Certificate of Directors of Merger Sub, as it existed immediately prior to the Effective Time, until changed in accordance with applicable law. Each Incorporation or by-laws of the members of the Board of Directors of the Company shall tender his Surviving Corporation or her as otherwise provided by law, or until their earlier death, resignation as a director of the Company, to be effective at the Effective Timeor removal.
