BOLC CONSIDERATION. In consideration of the transfer of the NUVOLA Assets by BOLC to NUVOLA, and BOLC's other obligations pursuant hereto and pursuant to the Ancillary Agreements, in addition to the other consideration described herein (including, without limitation, NUVOLA's obligations pursuant hereto and pursuant to the Ancillary Agreements), NUVOLA shall issue, grant or transfer to BOLC, as appropriate, prior to the Distribution Date, (i) shares of NUVOLA Common Stock necessary to effect the Distribution.
