Bonus During Cancellation Period. If Mattel notifies the Executive that the Employment Period provided in Section 1 hereof will not be automatically extended as provided therein, the compensation of the Executive shall continue as provided in this Agreement for the period provided therein, except that the amount of MIP compensation payable under the Bonus Programs with respect to each fiscal year during such period (including the year in which the notice was given) shall be the Average Annual Bonus as determined in Section 5(d)(i)(B). Amounts payable with respect to the year in which the term specified in Section 1 expires shall be prorated based on a fraction the numerator of which is the number of full months from the beginning of such year until the date of the expiration of this Agreement and denominator of which is 12.
