The Company shall issue the Additional Forward Purchase Shares to the Additional Forward Purchasers in book-entry form, free and clear of any liens or other restrictions whatsoever (other than those arising under state or federal securities laws), registered in the name of the Additional Forward Purchasers (or its nominee in accordance with its delivery instructions), or to a custodian designated by the Additional Forward Purchasers, as applicable pursuant to written instructions delivered by the Additional Forward Purchasers.
