Books and Records, Controls of Account. (a) The Xxxxxxx Member shall cause the Company to keep complete and appropriate records and books of account with respect to the Capital Accounts and the Company. Except as otherwise expressly provided herein, such books and records of the Company shall be maintained on an accrual basis, on a basis which allows the proper preparation of the Company’s tax returns and in accordance with generally accepted accounting principles in the United States, consistently applied. Such books and records shall be maintained at the principal office of the Company.
