Common use of Books and registers Clause in Contracts

Books and registers. (a) The register of members and statutory books of each Group Company (including any separate sheet minutes of the Subsidiary) contain up-to-date records of the members of that Group Company and all the other information which they are required to contain under the Companies Act. All returns, particulars, resolutions and other documents required to be delivered by any Group Company to the relevant authorities have been duly delivered and, so far as the Warrantors are aware, no fines or penalties are outstanding.
