BOOKS, RECORDS AND DOCUMENTS. 26. All case-specific information received and developed by the CONTRACTOR for the purpose of this Agreement is confidential and must be maintained in a manner consistent with applicable federal and NYS confidentiality statutes and regulations, including, but not limited to, 42 USC §671(a)(8), SSL §§372 and 422, Public Health Law (PHL) §2782, and 18 NYCRR Parts 357, 423, 428, 431 and 466.
27. The records of individuals served by the CONTRACTOR under the terms of this Agreement must be made available to the Department and OCFS upon request, in a form, manner and time required by the Department or OCFS.
28. The CONTRACTOR agrees to retain all books, records and other documents relevant to the Contractor’s Agreement for six (6) years after the CONTRACTOR receives final payment for the services to which they relate, during which time authorized county, state and/or federal auditors and other duly authorized representatives will be provided full access to and the right to examine the same.
BOOKS, RECORDS AND DOCUMENTS. ▇▇▇▇▇▇ House shall maintain all books, records, and documents directly pertinent to performance under this agreement in accordance with generally accepted accounting principles consistently applied, and in accordance with sound business practices which sufficiently and properly reflect all receipts and expenditures of finds provided by the School Board. The School Board, the State of Florida, or other authorized representatives shall have access to such records for audit purposes during the term of the agreement and for five (5) years following the termination of this agreement. If an audit has been initiated and audit findings have not been resolved at the end of the five (5) years, the records, books, and documents shall be retained until resolution of the audit findings.

KWCS and School Board shall maintain books, records, and documents directly pertinent to performance under this Charter in accordance with generally accepted accounting principles consistently applied. Each party to this Agreement or their authorized representative(s) shall have reasonable and timely access to such records of each other party to this Charter for audit purposes during the term of the Charter and for three (3) years following the termination, cancellation, expiration, or non-renewal of this Charter. (a) For a period of seven years from Completion, the Buyer shall, and shall procure that each member of the Group shall, make all books, records and documents which relate to the Group (insofar as the same record matters occurring on or before Completion and with appropriate redactions if and to the extent that such books, records or documents relate to matters occurring after Completion) available to the Sellers for inspection to the extent reasonably required by the Sellers and their Representatives in order to comply with the Sellers' and the Sellers' Group's tax or regulatory reporting obligations (including but not limited to such information as is reasonably required for the purposes of filing all Tax Returns or the making of any election relating to Taxes or the preparation for any audit by any Tax Authority or the prosecution or defense of any claim, suit or proceeding relating to any Tax), on reasonable advance written notice being given.
(b) For a period of seven years from Completion, the Sellers shall, and shall procure that the Sellers' Group shall, make all books, records and documents which relate to the Group (insofar as the same record matters occurring on or before Completion and with appropriate redactions if and to the extent that such books, records or documents relate to other matters) available to the Buyer for inspection to the extent reasonably required by the Buyer and its Representatives in order to comply with the Buyer's and the Buyer's Group's tax or regulatory reporting obligations (including but not limited to such information as is reasonably required for the purposes of filing all Tax Returns or the making of any election relating to Taxes or the preparation for any audit by any Tax Authority or the prosecution or defense of any claim, suit or proceeding relating to any Tax), on reasonable advance written notice being given.

Assignor will deliver to Assignee at Closing, or as soon as possible after Closing, originals of all of the books and records of the Corporation; provided, however, that as to filings and returns made jointly with Assignor copies thereof may be delivered by Assignor if such copies are certified by the Chief Executive Officer of Assignor to be true, correct and complete copies thereof, and provided, further, that Assignee shall have the right after for a period of four (4) years after the Closing date, upon reasonable notice given to Assignor, to obtain access to and make copies of the originals of all such filings and returns.
