Common use of Books Records and Reports Clause in Contracts

Books Records and Reports. The Sub-Adviser will maintain all accounts, books and records with respect to each Fund’s securities transactions as are required of an investment adviser of a registered investment company pursuant to the Investment Company Act and the Advisers Act and the rules thereunder and will file with the SEC all forms pursuant to Section 13 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), with respect to its duties described herein.

Books Records and Reports. The Sub-Adviser will maintain all accounts, books and records with respect to each Fund’s securities transactions transactions, as are required of an investment adviser of a registered investment company pursuant to the Investment Company Act and the Advisers Act and the rules thereunder and will file provide all necessary information to, and otherwise cooperate with, the Adviser and the Trust’s administrator in connection with the filing with the SEC of all forms pursuant to Section 13 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), with respect to its duties described herein.
