Common use of Borrower Agent Clause in Contracts

Borrower Agent. Each Borrower hereby irrevocably designates the Borrower Agent as its representative and agent for all purposes under the Loan Documents, including selection of interest rate options, delivery or receipt of communications, receipt and payment of Obligations, requests for waivers, amendments or other accommodations, actions under the Loan Documents (including in respect of compliance with covenants), and all other dealings with the Administrative Agent or any Lender. The Borrower Agent hereby irrevocably accepts such appointment. The Administrative Agent and the Lenders shall be entitled to rely upon, and shall be fully protected in relying upon, any notice or communication delivered by the Borrower Agent on behalf of any Borrower. The Administrative Agent and the Lenders may give any notice to or communication with a Borrower or other Loan Party hereunder to the Borrower Agent on behalf of such Borrower or other Loan Party. Each of the Administrative Agent and each Lender shall have the right, in its discretion, to deal exclusively with the Borrower Agent for any or all purposes under this Agreement. Each warranty, covenant, agreement and undertaking made on behalf of a Borrower by the Borrower Agent shall be deemed for all purposes to have been made by such Borrower and shall be binding upon and enforceable against such Borrower to the same extent as if the same had been made directly by such Borrower.

Each Borrower and, for the purposes of Section 15.3.1 only, each Obligor hereby irrevocably designates the Borrower Agent SCOC as its representative and agent (in such capacity, “Borrower Agent”) for all purposes under the Loan Documents, including selection requests for Loans and Letters of Credit, designation of interest rate optionsrates, delivery or receipt of communications, preparation and delivery of Borrowing Base and financial reports, receipt and payment of Obligations, requests for waivers, amendments or other accommodations, actions under the Loan Documents (including in respect of compliance with covenants), and all other dealings with the Administrative Agent Agent, any Issuing Bank or any Lender. The Borrower Agent hereby irrevocably accepts such appointment. The Administrative Agent and the Lenders shall be entitled to rely upon, and shall be fully protected in relying upon, any notice or communication (including any Notice of Borrowing) delivered by the Borrower Agent on behalf of any BorrowerBorrower or, for the purposes of Section 15.3.1 only, any Obligor. The Administrative Agent and the Lenders may give any notice to or communication with a Borrower or other Loan Party or, for the purposes of Section 15.3.1 only, an Obligor hereunder to the Borrower Agent on behalf of such Borrower or other Loan PartyObligor. Each of the Administrative Agent Agent, Issuing Banks and each Lender Lenders shall have the right, in its discretion, to deal exclusively with the Borrower Agent for deal 3.1 only, each Obligor agrees that any or all purposes under this Agreement.
