Common use of Borrower Authority Clause in Contracts

Borrower Authority. Agent shall have received in form and substance satisfactory to it (i) a copy of a resolution adopted by the Board of Directors of Borrower authorizing the execution, delivery and performance of this Agreement and the other Borrower Documents certified by the Secretary of Borrower; (ii) evidence of the authority and specimen signatures of the persons who have signed this Agreement and the other Borrower Documents; (iii) Certificates of Good Standing dated as of a recent date issued by the Secretary of State of Minnesota in respect of Borrower; and (iv) such other evidence of corporate authority as Agent shall reasonably require.

Borrower Authority. Agent shall have received in form and substance satisfactory to it (i) a copy of a resolution adopted by the Board of Directors of Borrower authorizing the execution, delivery and performance of this Agreement and the other Borrower New Loan Documents certified by the Secretary of Borrower; (ii) evidence of the authority and specimen signatures of the persons who have signed this Agreement and the other Borrower New Loan Documents; (iii) Certificates a Certificate of Good Standing dated as of a recent date issued by the Secretary of State of Minnesota Washington in respect of Borrower; and (iv) such other evidence of corporate authority as Agent shall reasonably require.
