Borrower Consent. (a) The consent of the Borrower is required for an assignment or transfer by an Existing Lender to a third party other than an Approved Assignee provided that no such consent shall be required if an Event of Default has occurred and is continuing. (b) The Borrower will be deemed to have given its consent within ten (10) Business Days after the Existing Xxxxxx has requested it unless consent is expressly refused by the Borrower within that time.
