Borrower Replacement Covenant. The Borrower shall ensure that substantially concurrently with the effectiveness of the Separation, each of the conditions set forth in Section 4.03 shall be satisfied. Notwithstanding anything to the contrary contained in this Article V, nothing in this Article V shall prohibit the consummation of any one or more individual transactions entered into in connection with the Separation in accordance with and subject to compliance with each of the conditions set forth in the definition of “Separation.”
