Borrower's Contracts. Schedule 5.6 attached hereto is a true and complete list of all material contracts and agreements to which Borrower is a party or will become a party pursuant to the assumption of Seller's rights and obligations under the terms of the Asset Purchase Agreement. Borrower remains liable to perform its Obligations under any contracts and agreements included in the Collateral to the same extent as though this Agreement had not been entered into and Lender does not have any obligation or liability under such contracts and agreements by reason of this Agreement or otherwise.
