Common use of Borrower’s Incorporation Papers Clause in Contracts

Borrower’s Incorporation Papers. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders), in form and substance satisfactory to Agent and its counsel, a copy of Borrower’s certificate of incorporation, certified by the Secretary of State of Delaware, as of a recent date, and a copy of the Borrower’s by-laws, certified by the Secretary or an Assistant Secretary of Borrower;
