Borrower’s Operating Agreement Sample Clauses
Borrower’s Operating Agreement and complete copy of the operating agreement creating Borrower and any and all amendments thereto (collectively, the "Operating Agreement") has been furnished to Agent. The Operating Agreement constitutes the entire agreement among the members of Borrower and is binding upon and enforceable against each of the members in accordance with its terms. There are no other agreements, oral or written, among any of the members relating to Borrower. No breach exists under the Operating Agreement and no condition exists which, with the giving of notice or the passage of time would constitute a breach under the Operating Agreement.
Borrower’s Operating Agreement. “Borrower’s Operating Agreement” shall mean Borrower’s Amended and Restated Operating Agreement dated effective September 1, 2005.
