Borrowing Base Appraisal and Collateral Examination. (i) An Appraisal Report in respect of the Inventory of the Borrower and the Subsidiary Guarantors in a form satisfactory to the Administrative Agent, and (ii) a field examination and auditor report in respect of the Accounts and Inventory of the Borrower in a form satisfactory to the Administrative Agent, it being understood that the Hilco Appraisal Report dated August 31, 2009 and the KPMG field examination and audit report dated August 14, 2009 are satisfactory.
