Common use of Borrowing Certificate Clause in Contracts

Borrowing Certificate. The Administrative Agent shall have received, with a photocopy for each Lender, a certificate of the Borrower, dated the Closing Date, substantially in the form of Exhibit J with appropriate insertions and attachments, reasonably satisfactory in form and substance to the Administrative Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of the Borrower.

Borrowing Certificate. The Administrative Agent shall have received, with a photocopy for each Lender, a certificate of the Borrower, dated the Closing DateBorrowing Base Certificate, substantially in the form of Exhibit J to the Telex Credit Agreement, with appropriate insertions and attachments, reasonably satisfactory in form and substance to the Administrative Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of the Borrower.

Borrowing Certificate. The Administrative Agent shall have received, with a photocopy for each Lender, a certificate of the Borrower, dated the Closing Effective Date, substantially in the form of Exhibit J H, with appropriate insertions and attachments, reasonably satisfactory in form and substance to the Administrative Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of the Borrower.
