Branches and Representative Offices. The Company (or such other Mepha Group Company as indicated in Annex 6.1.4 operates the representative offices and branches set out Annex 6.1.4. Other than the representative offices and branches set out in Annex 6.1.4, no Mepha Group Company operates any representative offices or branches.
Branches and Representative Offices. 4.1. The Company may establish branches and representative offices in and outside of the Russian Federation in accordance with the requirements of the LLC Law and other federal laws, and outside the Russian Federation also in accordance with the legislation of the foreign state on the territory of which the branches are established and representative offices are opened, unless otherwise is provided for by the international treaties to which the Russian Federation is a party.
4.2. The resolution on the establishment of branches and opening representative offices, as well as on the appointment of their managers shall be passed by the Company’s board of directors (hereinafter — the “Board of Directors”). 4.3. Neither a branch nor a representative office of the Company are legal entities, and they operate on the basis of regulations approved by the Board of Directors. A branch and a representative office are vested with assets by the Company.
Branches and Representative Offices. 1. The Bank, being an international organisation, opens a full-function branch of the Bank in Moscow, Russian Federation, in order to facilitate effective operations of the Bank.
