Breach by NFP. If NFP has materially breached or otherwise materially failed to comply with its obligations hereunder, and NFP fails to cure such material breach or material failure to comply within sixty (60) days of receiving notice thereof from SCDHHS, then SCDHHS may terminate this Contract and wind down shall occur in accordance with Section VIII.F of this Article below.
