BREACH BY PENN OCTANE. In the event POCC fails to perform the Services as provided in Section 3.1 and does not cure such failure within ten (10) days of receiving written notice of same from the General Partner, the Partnership, in addition to any other remedies at law or in equity, may terminate this Agreement and engage a third party for the provision of the Services. POCC shall cooperate in good faith with the Partnership and the General Partner in transitioning the Services to any such third party.
