Common use of Breach by Sublicensee Clause in Contracts

Breach by Sublicensee. During the term of this Agreement, Licensee shall be responsible for any breach of a Sublicense agreement by a Sublicensee (or further Sublicense agreement under Section 2.3.2.4) that results in a material breach of this Agreement. Licensee may elect (a) to cure such breach in accordance with Section 10.2.3.1 of this Agreement or (b) to enforce its rights by terminating such Sublicense agreement in accordance with the terms thereof. Licensee shall indemnify Harvard for, and hold it harmless from, any and all damages or losses caused to Harvard as a result of any such breach by a Sublicensee or further Sublicensee.
