Common use of Breach of laws Clause in Contracts

Breach of laws. (A) It has not breached any law or regulation which has, or could reasonably be expected to have, a Material Adverse Effect. (B) It is in compliance with all environmental laws, a breach of which could reasonably be expected to give rise to a liability on it which has, or could reasonably be expected to have, a Material Adverse Effect and, so far as it is aware having made due and careful enquiry, there is no environmental claim outstanding against it which, if adversely determined, would give rise to a liability on it which has, or could reasonably be expected to have, a Material Adverse Effect.
