Breach of Representation, Warranty, Etc. Any and all Losses which may be asserted against any such Seller Indemnitee or which any such Seller Indemnitee shall incur or suffer and which arise out of, result from or relate to: (a) any untrue representation or breach of warranty of Buyer in this Agreement; or (b) any default or breach of any covenant or agreement on the part of Buyer under this Agreement.
