Common use of BREACH OF REPRESENTATIONS, WARRANTIES AND COVENANTS Clause in Contracts

BREACH OF REPRESENTATIONS, WARRANTIES AND COVENANTS. Notwithstanding the provisions of 8.2 above, Seller shall indemnify Purchaser for all reasonable costs incurred as a result of the failure of any of Seller's representations, warranties or covenants contained herein to remain true as of the date of closing.

BREACH OF REPRESENTATIONS, WARRANTIES AND COVENANTS. (A) Notwithstanding the provisions of 8.2 above, Seller shall indemnify Purchaser for all reasonable costs incurred as a result of the failure of any of Seller's representations, warranties or covenants contained herein to remain true as of the date of closing. (B) In the event that Purchaser shall breach any warranties, it agrees to indemnify Seller for any reasonable costs and expenses that Seller may have incurred.

(B) in the event that Purchaser shall breach any warranties, it agrees to indemnify Seller for any reasonable costs and expenses that Seller may have incurred.

Notwithstanding the provisions of 8.2 above, Seller shall indemnify Purchaser for all reasonable direct, out-of-pocket costs incurred as a result of the willful failure of any of Seller's representations, warranties or covenants contained herein to remain true as of the date of closing.

BREACH OF REPRESENTATIONS, WARRANTIES AND COVENANTS. Notwithstanding the provisions of 8.2 9.2 above, Seller shall indemnify Purchaser for all reasonable costs incurred as a result of the failure of any of Seller's representations, warranties or covenants contained herein to remain true as of, which failure occurs between the date of closing from the date of termination of the Inspection Period and the date of closing.

Notwithstanding the provisions of 8.2 above, Seller shall indemnify Purchaser for all reasonable costs incurred incurred, not to exceed $25,000, as a result of the failure of any of Seller's representations, warranties or covenants contained herein to remain true as of the date of closing.
