Breach Representation Sample Clauses

Breach Representation. Buyer does not have Actual Knowledge of any breach of any of the representations and warranties or covenants or other obligations of Seller contained in this Agreement except as expressly disclosed in writing to Seller. Buyer shall be deemed to have waived in full any breach of any of Seller’s representations, warranties, covenants and obligations of which Buyer has such Actual Knowledge as of the Closing.
