Common use of Breach; Survival Clause in Contracts

Breach; Survival. Except as set forth in the last sentence of this Section 5.05, upon termination of this Agreement all obligations of the parties to this Agreement shall cease and terminate without any liability or obligation on the part of any party to this Agreement to any Person in respect of this Agreement, and no party shall have any claim against another whether in contract, tort or otherwise with respect to this Agreement. Notwithstanding the foregoing, no party hereto shall be relieved from any liability for breach of this Agreement by reason of any termination of this Agreement. Regardless of the foregoing, this Section 5.05 through Section 5.14 hereof shall survive the termination of this Agreement.
