Breach to perform the Closing Actions. This Agreement may be terminated (resuelto) by the non-breaching Party in the event of a material non-compliance or material breach by the other Party to perform its Closing Actions pursuant to Clause 6. Each Party’s right to terminate this Agreement under Clauses 9.1.2, 9.1.3 and 9.1.4 above, shall not exclude the non-breaching Party’s right to claim damages and losses (xxxxx y perjuicios) determined in accordance with the Spanish Civil Code (Código Civil), and arising from a breach of the other Party’s obligations hereunder.

This Agreement may be terminated (resuelto) by the non-breaching Party as regards any Company or Towers Zweite, whose Closing has not been performed yet, in the event of a material non-compliance or material breach by the other Party to perform its Closing Actions pursuant to Clause 6.
