Bribery & Corruption. 15.1 For the purposes of this clause 15 the expressions 'adequate procedures' and 'associated with' shall be construed in accordance with the Xxxxxxx Xxx 0000 and legislation or guidance published under it (the “Bribery Laws”).
15.2 Each party shall comply with applicable Bribery Laws including ensuring that it has in place adequate procedures to prevent bribery and ensure that: all of that party’s personnel; all others associated with that party; and all of that party’s subcontractors; involved in performing this Agreement so comply.
15.3 Without limitation to clause 15.2, neither party shall make or receive any bribe (as defined in the Bribery Act 2010) or other improper payment, or allow any such to be made or received on its behalf, either in the United Kingdom or elsewhere, and shall implement and maintain adequate procedures to ensure that such bribes or payments are not made or received directly or indirectly on its behalf.
15.4 Each party shall immediately notify the other as soon as it becomes aware of a breach or possible breach of any of the requirements in this clause 15.
Bribery & Corruption. 1If the Provider in relation to this or any other contract with the Council shall do or have done any act:
Bribery & Corruption i. Vakrangee do not tolerate bribery or corruption in any form. This commitment underpins everything that we do. Our franchisees and Franchisee’s Employees should not, directly, or indirectly, offer or receive any illegal or improper payments or comparable benefits that are intended or perceived to obtain undue favors for the conduct of our business.
ii. Corrupt actions may include the following situations:
a. The Franchisee provides, offers, or promises an undue advantage to a domestic or foreign official (such as a member of a judicial or other authority, state employee, expert, translator or interpreter, arbitrator, or a member of the armed forces) for the benefit of such person or any third party, for the commission or omission of an act in relation to his official function that is contrary to his duties or depends on the exercise of his discretionary powers ("bribery").
b. The Franchisee provides, offers, or promises an undue advantage to an company employee, partner, agent, or other auxiliary of a Vakrangee partner for the benefit of such person or any third party, for the commission or omission of an act in relation to his function that is contrary to his duties, or depends on the exercise of his discretionary powers ("active private bribery").
c. The Franchisee accepts an undue advantage or promise of such advantage from an existing or potential Vakrangee Employee / business partner for the commission or omission of an act in relation to his function that is contrary to his duties or depends on the exercise of his discretionary powers ("passive private bribery").
Bribery & Corruption. If the Provider in relation to this or any other contract with the Council shall do or have done any act:
Bribery & Corruption. 26.1. The Contractor shall comply with any legislation intended to eliminate or prevent bribery and corruption, including, for the avoidance of doubt, the Xxxxxxx Xxx 0000.
Bribery & Corruption. 15.1 Either party shall be entitled to immediately terminate this Agreement and to recover from the other the amount of any direct loss resulting from such cancellation if either party shall commit any offence under the Xxxxxxx Xxx 0000 or give or offer any fee or reward which if received would constitute an offence under section 117 of the Local Government Xxx 0000.
Bribery & Corruption. 15.1 You shall ensure that You do not, by any act or omission, breach and/or place EXETER in breach of any Bribery Laws. You shall comply with all applicable Bribery Laws.
15.2 You agree that You will have in place adequate and effective procedures for detecting and monitoring bribery & corruption and will regularly audit and monitor such procedures to prevent a breach of any such compliance. You agree to report promptly to Us in writing any breaches of any of the requirements in this Clause 15 (including where there is a suspicion of a breach or an allegation of a breach) which are or may be relevant to this Agreement.
Bribery & Corruption. Fraudulent Acts and Inducement. Each Party agrees and undertakes that it and its Recipients:
i. shall comply with all ABAC Laws. For the purpose of this Agreement, “ABAC Laws” means laws and regulations relating to bribery and corruption including local laws such as the Malaysian Anti-Corruption Commission Xxx 0000, and foreign laws such as the UK Xxxxxxx Xxx 0000 and the US Foreign Corrupt Practices Xxx 0000;
Bribery & Corruption. 10.1 You agree that you will have in place adequate and effective procedures for detecting and monitoring Bribery & Corruption and will regularly audit and monitor such procedures to prevent a breach of any such compliance. You agree to report promptly to us in writing any breaches of such compliance (including where there is a suspicion of a breach or an allegation of a breach) which are or may be relevant to these Terms.
Bribery & Corruption. 31.1 NAIM Group of Companies adopts a zero-tolerance policy against all forms of bribery and corruption. The SELLER must demonstrate and commit to the anti-bribery practices consistent with the Naim Group of Companies' Anti-Bribery & Corruption Policy and Code of Conduct & Business Ethics, and the BUYER reserve the right to terminate this contract without liability to the BUYER in the event of the SELLER failure to comply with and/or should the SELLER breach the principles and standards set out therein. As such, the SELLER are to signify its acknowledgement and acceptance of NAIM Corporate Liability Provision and abide by the Integrity Pledge which can be accessed at xxxxx://xxx.xxxx.xxxx.xx/our- group-policies and ensure that the said documents are/have been duly completed and signed and returned to the BUYER, when required.
