OBLIGATIONS OF THE FRANCHISEE. The FRANCHISEE hereby covenants and agrees to perform and abide by the following: To not have any right, title, interest, claim or demand over and in respect of the business name of NEXUS SEVA XXXXXX + FINO EXCLUSIVE BANK. To not carry on business in the name of NEXUS SEVA XXXXXX + FINO EXCLUSIVE BANK without the permission and authority in writing from the FRANCHISER. To not enter into any agreement on behalf of the FRANCHISER. To not carry on the business of the FRANCHISER or any part thereof from any place other than from the Premises specified above without the prior written consent of the FRANCHISER. To not take CO-WORKERS for and/or promote any other business, other than the businesses prescribed by the FRANCHISER. To exercise its best endeavours in running the franchise so as to promote mutual business interests of the FRANCHISER and the FRANCHISEE and to maintain the quality of services imparted at the Premises as stipulated by the FRANCHISER. To maintain the infrastructural and technical requirements as set out in Schedule A hereto (including without limitation to the generality of the foregoing telephone, broadband connection, computers, fixtures and fittings) as may be intimated in writing by the FRANCHISER from time to time. The FRANCHISEE shall also: Comply with the FRANCHISER’s directions as to the layout and use of such equipment and fixtures and fittings; and Maintain such equipment and fixtures and fitting in good repair and good working order. To make payments to the FRANCHISER as agreed between the Parties and in accordance with the conditions set out in Clause 9 of this Agreement. To use the Intellectual Property Rights of the FRANCHISER only to the extent permitted under this Agreement. To provide services specifiedunder this Agreement at the fees agreed upon by the Parties if any. The FRANCHISEE expressly undertakes to charge only such minimum fees from customers as agreed between the Parties and laid down in SCHEDULE B unless lower fees are approved in writing by the FRANCHISER. To ensure that the quality and standard of imparting the services does not deteriorate and shall reflect the quality of standards maintained by the FRANCHISER as closely as possible. OBLIGATIONS OF THE FRANCHISEE. The FRANCHISEE agrees and undertakes that the FRANCHISEE shall:
7.1. Ensure that adequate infrastructure as per the specifications mentioned in Annexure-2 and financial resources are available to the FRANCHISEE by way of working capital and otherwise to ensure that the FRANCHISEE is able to fulfill all the obligations herein contained.
7.2. FRANCHISEE rights are not transferable and heritable as per the existing ESD rules 2011. In case there are any changes in the ESD rules the same shall apply.
7.3. FRANCHISEE shall ensure that G2C services are effectively and cordially provided to the citizens. The FRANCHISEE shall not refuse to deliver services as per demand of the citizens and availability of services.
7.4. In providing the B2C/B2B services, the FRANCHISEE shall ensure that:
a. services which are opposed to public interest or public policy shall not be provided by it.
b. such services shall not be provided in a manner that has an adverse impact on the provision of Government Services to citizens or on the operations, functioning, performance, infrastructure of the Centre.
7.5. FRANCHISEE shall ensure that any act of indiscipline/misdemeanor by its Operator is suitably handled by it. Besides FRANCHISEE shall be bound to comply with directions if any issued by TSTS or directions if any issued by the State Government in this matter.
7.6. FRANCHISEE shall purchase the stationery/ required receipts and other documents from the TSTS or from the supplier mentioned by TSTS and should take proper custody. TSTS shall make efforts to keep this cost as low as possible. These stationery items are not transferable to any other FRANCHISEES. If any such transfers found at later date, the FRANCHISEE is liable to pay the penal chargers as decided by TSTS.
7.7. TSTS will have a right to appoint another FRANCHISEE in the same locality in case if the Centre is not running for more than 7 consecutive days, in order to provide the services to the citizen.
7.8. Operate the Business strictly in accordance with the terms stipulated in this Agreement and instructions/guidelines/procedures/processes prescribed by TSTS from time to time and that shall be considered a part of this Agreement and to conform in all respects and all times to the instructions, procedures, processes, guidelines laid down from time to time by TSTS for the purpose of marketing the Services and improving and increasing the market potentiality of the Services. OBLIGATIONS OF THE FRANCHISEE. It is hereby expressly agreed and declared by the Franchisee that he shall have responsibility to aggregate energy requirement of Downstream Consumers at Single Point and undertake functions as set-out hereunder:
(a) Make the space available for installation of equipments of RInfra-D;
(b) Provide meter reading of individual Downstream Consumer for billing purpose as instructed by RInfra-D time to time.
(c) Abide by the provisions of the Act and the regulations made thereunder.
OBLIGATIONS OF THE FRANCHISEE. The Franchisee shall perform its obligation hereunder faithfully, honestly and diligently and extend its best efforts to promote and enhance the Business and its goodwill and protect its Trademark and associated Intellectual Property Rights.
OBLIGATIONS OF THE FRANCHISEE. 6.1 The AFFILIATEe may not in any way spam its LINK REF among the participants in the official social business groups, including but not limited to REDDIT, DISCORD, TELEGRAM.
6.2 The AFFILIATEe may not in any way spam its LINK REF towards already registered participants for the purpose of opening multiple accounts or having multiple personal accounts.
6.3 The AFFILIATEe may not privately contact participants who are already in the official corporate social groups by adding them to other social groups without their express permission.
6.4 The PARTICIPANT may not promote games similar to MANAGERNFT for the duration of its affiliation with MANAGERNFT.
6.5 The AFFILIATE agrees not to take any action aimed at denigrating the Company without just cause and/or in any case to take any action aimed at obtaining personal benefits to the detriment of MANAGERNFT.
OBLIGATIONS OF THE FRANCHISEE. The following are the obligations of the Franchisee:
a. The Franchisee shall provide an adequate space for installing the ATM, signage, VSAT / Connectivity etc. at no additional cost to Franchisor.
b. The Franchisee shall carry out the ATM services exclusively under the brand “Indicash” as per instructions and directions provided to the Franchisee by the Franchisor from time to time. This is condition precedent for accomplishing the objective of this business arrangement.
c. The Franchisee shall keep the space where ATM is being deployed in clean and safe condition at all times. The Franchisee shall ensure that the ATM and assets deployed in the Premises are not damaged due to the act of omission or commission of the Franchisee and/or his employees / customers and the Franchisee will provide necessary safety and security to the ATM and assets deployed in the Premises.
d. The Franchisee shall provide and maintain convenient access and interface for customers, and sufficient space for display of mandatory information and documentation to the customers, as prescribed by the Franchisor. Any modification of the layout or shift in accommodation can be affected only with prior approval of the Franchisor.
e. The Franchisee shall prominently display any information supplied by the Franchisor from time to time, and display a signboard of prescribed dimensions, lollipop, color and indications supplied by the Franchisor.
f. Ensure safety and security of all articles of mails, documents generated/received as part of business activity from the outlet, while they are in the custody of the Franchisee, to maintain necessary documentation and to ensure their safety as prescribed by the Franchisor. Loss to the Franchisor due to failure to do so will be made good by the Franchisee.
g. The Franchisee shall deal with the customers / cardholders in a fair, courteous and honest manner and render secure, private space, prompt services in such a manner as not to detract from or bring disrepute to the brand or the Franchisor.
h. Fully co-operate with the Franchisor in conducting any investigation/audit into complaints/ disputes received from any cardholder / customer. The Franchisee shall provide all relevant information in such cases as well as for any other matter, as may be required by the Franchisor from time to time.

The franchisee irrevocably accepts, declares and undertakes to comply with the instructions and principles, product production forms, techniques, presentation and sales techniques and other instructions, operation standards and principles conveyed to it by the franchisor through the written or oral communication channels in this agreement or through other means of communication used by the parties, to continue to operate in accordance with these instructions, to allow the audits by the franchisor to be carried out and to bear the controls, that secret clients may be assigned by the franchisor, that the franchisor may use all its rights to audit within the working hours and without prior notice, to take into account the issues that are notified to it as a result of the audit, to fulfill the recommendations, to immediately make the necessary arrangements in accordance with the recommendations and to give all necessary support to the franchisor in these matters.
3.2. The franchisee irrevocably accepts, declares and undertakes to carry out all the works required to develop and protect the reputation of the store where it will carry out its business within the scope of this agreement, to increase the release of the products to be sold in its store and to protect and increase the value of the franchisor's trademark and to protect and increase its prestige and reputation, to be honest in all its works, to act as a principled and prudent trader, to cooperate closely with the franchisor, to be prepared in a dynamic, continuous and durable systematic in this context and to act in full cooperation with the

Franchisee is obliged to inform the franchisor immediately of the changes that affect it or its enterprise financially and legally, such as Precautionary Distraints, Precautionary Measures, Execution Proceedings or Litigations initiated or opened towards its commercial enterprise and store financially and legally after the establishment of the agreement. Corporeal and incorporeal properties being subject to legal proceedings for such reasons cannot be presented as a force majeure under this agreement, and the franchise is personally liable for damages arising from not immediately notifying the franchisor; the franchisee irrevocably accepts, declares and undertakes the obligation to take the necessary measures in this context.

(1) The Franchisee agrees to operate the Franchise strictly in accordance with the standards of the Business, and to adhere to the instructions of the Business in all matters relating thereto. The Franchisee also agrees to abide by the terms and conditions of this Agreement, and to use its best efforts to increase the sales of the Manufactured Goods of the Business.
(2) Furthermore, the Franchisee shall, at all times, maintain in its inventory at the Franchise no fewer than [insert number] of each of the Manufactured Goods.
