Bring-down Comfort Letter — NHP. At the Closing Time, the Underwriter shall have received from Ernst & Young LLP a letter, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letter furnished pursuant to Section 5(j) hereof, except that (i) it shall cover the financial information in the Prospectus relating to NHP and any amendment or supplement to the Disclosure Package or the Prospectus related thereto and (ii) the specified date referred to shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Underwriter Underwriters shall have received from Ernst & Young LLP a letter, dated as of the Closing Time, to the effect that they reaffirm the statements made in the letter furnished pursuant to Section 5(j5(i) hereof, except that (i) it shall cover the financial information in the Prospectus relating to NHP and any amendment or supplement to the Disclosure Package or the Prospectus related thereto and (ii) the specified date referred to shall be a date not more than three business days prior to the Closing Time.
