Common use of Bring-down Comfort Letters Clause in Contracts

Bring-down Comfort Letters. At the Closing Time, the Representatives shall have received from BDO USA, LLP a letter, dated the Closing Time, to the effect that each of reaffirms the statements made in the letter furnished pursuant to subsection (g) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

Bring-down Comfort Letters. At the Closing Time, the Representatives Representative shall have received from BDO USA, LLP a letter, dated the Closing Time, to the effect that each of it reaffirms the statements made in the letter furnished pursuant to subsection (gSection 5(f) of this Sectionhereof, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

Bring-down Comfort Letters. At the Closing Time, the Representatives Representative shall have received from BDO USA, Xxxxxx LLP a letter, dated the Closing Time, to the effect that each of reaffirms the statements made in the letter furnished pursuant to subsection (g) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

Bring-down Comfort Letters. At the Closing Time, the Representatives shall have received from each of (i) Ernst & Young LLP and (ii) BDO USA, USA LLP a letter, dated as of the Closing Time, to the effect that each of reaffirms they reaffirm the statements made in the letter furnished pursuant to subsection (gf) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives shall have received from BDO USAXxxxxx LLP and Xxxxxxx & Xxxxxx, LLP a letterLLC letters, dated the Closing Time, to the effect that each of reaffirms the statements made in the letter furnished pursuant to subsection (g) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives Representative shall have received from each of BDO USA, LLP a letterand PBMares, LLP letters, dated as of the Closing Time, to the effect that each of reaffirms they reaffirm the statements made in the letter furnished pursuant to subsection (gf) of this SectionSection 5, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

At the Closing Time, the Representatives Representative shall have received from each of KPMG LLP and BDO USA, LLP P.C. a letter, dated as of the Closing Time, to the effect that each of reaffirms they reaffirm the statements made in the letter furnished pursuant to subsection (g) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.

At the Closing TimeDate and any Option Closing Date, as applicable, the Representatives Representative shall have received from BDO USA, LLP a letterletters, dated as of the Closing TimeDate or such Option Closing Date, as applicable, to the effect that each of reaffirms they reaffirm the statements made in the letter letters furnished pursuant to subsection (ge) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing TimeDate or such Option Closing Date.

At the Closing Time, the Representatives Representative shall have received from BDO USAeach of PricewaterhouseCoopers LLP, KPMG LLP and Deloitte a letter, dated as of the Closing Time, to the effect that each of reaffirms they reaffirm the statements made in the their letter furnished pursuant to subsection (g) of this Section, except that the specified date referred to therein shall be a date not more than three business days prior to the Closing Time.
