Common use of Bring-down Company Comfort Letter Clause in Contracts

Bring-down Company Comfort Letter. The Representatives shall have received a letter, dated the Closing Date, of KPMG LLP which meets the requirements of subsection (a) of this Section, except that the specified date referred to in such subsection will be a date not more than three days prior to the Closing Date for the purposes of this subsection. The Company will furnish the Representatives with such conformed copies of such opinions, certificates, letters and documents as the Representatives reasonably request. The Lead Underwriter may waive on behalf of the Underwriters compliance with any conditions to the obligations of the Underwriters under this agreement and the Terms Agreement, provided that each Representative has consented to such waiver.
