Broad Oak Contribution Documents. No party to any Broad Oak Contribution Document is in default in respect of any material term or obligation thereunder or in breach of any material representations or warranties made thereunder. Each of the Broad Oak Contribution Documents is in full force and effect and constitutes a valid and binding obligation of each Credit Party a party thereto, enforceable against each Credit Party thereto in accordance with its terms except as (a) enforceability thereof may be limited by bankruptcy, insolvency or similar Laws affecting creditors rights generally and (b) the availability of equitable remedies may be limited by equitable principles of general applicability.
