Common use of Broker Fees Clause in Contracts

Broker Fees. Except as set forth on Schedule 4.6, there is no investment banker, broker, finder or other intermediary which has been retained by, or is authorized to act on behalf of the Investor or any of its Affiliates, that is entitled to any fee or commission in connection with the transactions contemplated hereby from the Investor or any Affiliate thereof.

Broker Fees. Except as set forth on Schedule 4.63.21, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any Subsidiary or any of its Affiliates, that their respective Affiliates and is entitled to any a fee or commission in connection with the transactions contemplated hereby from the Investor or any Affiliate thereofTransactions.

Broker Fees. Except as set forth on Schedule 4.63.19, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any of its Affiliates, that Subsidiary and is entitled to any a fee or commission in connection with the transactions contemplated hereby Transactions from the Investor Company or any Affiliate thereofSubsidiary of the Company. The fees and expenses of any such investment banker, broker, finder or other such intermediary shall be Transaction Expenses.

Except as set forth on Schedule 4.62.17, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any of its Affiliates, that Subsidiary and is entitled to any a fee or commission in connection with the transactions contemplated hereby by this Agreement from the Investor Company or any Affiliate thereofSubsidiary.

Except as set forth on Schedule 4.63.7, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of the Investor of, Parent or any of its Affiliates, that is entitled to any a fee or commission in connection with the transactions contemplated hereby from the Investor Company or any Affiliate thereofof its Subsidiaries.

Except as set forth on Schedule 4.63.20, there is no investment banker, broker, financial advisor, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any of its Affiliates, that Subsidiary and is entitled to any a fee or commission in connection with the transactions contemplated hereby Transactions from the Investor Company or any Affiliate thereofSubsidiary.

Broker Fees. Except as set forth on Schedule 4.63.23, there is no investment banker, broker, finder or other such intermediary which has been retained by, or is authorized to act on behalf of the Investor or any of its Affiliates, that is entitled to any a fee or commission in connection with the transactions contemplated hereby from Transactions based upon arrangements made by or on behalf of the Investor Company or any Affiliate thereofof its Subsidiaries.

Except as set forth on Schedule 4.63.7, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Parent or any of its Affiliates, that is entitled to any a fee or commission in connection with the transactions contemplated hereby from the Investor or any Affiliate thereofhereby.

Except as set forth on Schedule 4.63.19, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any of its Affiliates, that Subsidiary and is entitled to any a fee or commission in connection with the transactions contemplated hereby Transactions from the Investor Company or any Affiliate thereof.Subsidiary of the Company. 37

Except as set forth on Schedule 4.6Section 5.20 of the Disclosure Schedule, there is no investment banker, broker, finder or other such intermediary which has been retained by, or is authorized to act on behalf of the Investor or any of its Affiliates, that is entitled to any a fee or commission in connection with the transactions contemplated hereby from Transactions based upon arrangements made by or on behalf of the Investor Company, any of its Subsidiaries or their respective Affiliates or for which the Company or any Affiliate thereofof its Subsidiaries could become liable.

Broker Fees. Except as set forth on Schedule 4.63.21 of the Disclosure Schedules, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of of, the Investor Company or any of its Affiliates, that Subsidiary and is entitled to any a fee or commission in connection with the transactions contemplated hereby Transactions from the Investor Company or any Affiliate thereofits Subsidiary.

Except as set forth on Schedule 4.64.06, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of the Investor of, Seller or any of its Affiliates, that Affiliates and is entitled to any a fee or commission in connection with the transactions contemplated hereby from Transactions for which the Investor Company or any Affiliate thereofof its Subsidiaries would be liable.

Broker Fees. Except as set forth on Schedule 4.6Section 4.6 of the Investor Disclosure Schedule, there is no investment banker, broker, finder or other such intermediary which that has been retained by, or is has been authorized to act on behalf of the of, Investor or any of its Affiliates, that is entitled to any a fee or commission in connection with the transactions contemplated hereby from the Investor or any Affiliate thereof.

The Company shall be solely responsible for any such fees (which shall be included as a Transaction Expense to the extent not paid prior to the Closing).
