Common use of Brokerage Commissions and Fees Clause in Contracts

Brokerage Commissions and Fees. WGT and Purchaser, on the one hand, and Seller and Xxxxxxx, on the other hand, represent and warrant to each other that all negotiations between them have been carried on by them directly, each with the other, or with the other's Representatives, without the intervention of any third person and that there are no brokers' commissions, finder's fees or other payments of like nature payable to any person. Purchaser agrees to indemnify and hold harmless Seller from and against any and all losses, claims, costs, damages and expenses of whatsoever nature (including, without limitation, all legal expenses) attributable to any claim, liability or obligation for any brokers' commission, finder's fees or other payment of like nature which arises from any contract or agreement or obligation on the part of the Purchaser with any broker, finder or like person. Seller agrees to indemnify and hold harmless Purchaser from and against any and all losses, claims, costs, damages and expenses of whatsoever nature (including, without limitation, all legal fees and expenses) attributable to any claim or liability or obligation for any brokers' commissions, finder's fees or payment of like nature which arises from any contract, agreement or obligation on the part of Seller with any broker, finder or like person.

("TTA") (which has acted on behalf of Purchaser). Purchaser agrees to indemnify and hold harmless Seller from and against any and all losses, claims, costs, damages and expenses of whatsoever nature (including, without limitation, all legal expenses) attributable to any claim, liability or obligation for any brokers' commission, finder's fees or other payment of like nature which arises from any contract or agreement or obligation on the part of the between Purchaser and TTA and/or with any other broker, finder or like person. Seller agrees and RLA jointly and severally agree to indemnify and hold harmless Purchaser from and against any and all losses, claims, costs, damages and expenses of whatsoever nature (including, without limitation, all legal fees and expenses) attributable to any claim or liability or obligation for any brokers' commissions, finder's fees or payment of like nature which arises from any contract, agreement or obligation on the part of Seller or RLA with any broker, finder or like person.
