Brokerage Fees and Commissions. Except as set forth on Schedule 3.21, neither the Company nor the Company Stockholder has incurred any obligation or entered into any agreement for any investment banking, brokerage or finder's fee, or commission in respect of the transactions contemplated by this Agreement for which IES or the Company shall incur any liability.
