Brokerage Fees, etc. Each Note Purchaser represents and warrants to each other party to this Agreement that no broker’s, finders’ or placement fee or commission will be payable to any Person alleged to have been retained by such representing and warranting party with respect to any of the transactions contemplated by this Agreement. Each Note Purchaser hereby indemnifies each such other party against, and agrees that it will hold each such party harmless from, any claim, demand or liability, including reasonable attorneys’ fees, for any broker’s, finder’s or placement fee or commission alleged to have been incurred by such indemnifying party.
Brokerage Fees, etc. The Purchaser represents and warrants to the Company that no broker’s, finder’s or placement fee or commission will be payable to any Person alleged to have been retained by the Purchaser with respect to any of the transactions contemplated by this Agreement.
Brokerage Fees, etc. No person has any claim for brokerage fees, commissions or similar payments with respect to the transactions contemplated hereby based upon any agreement or understanding made by the Company or any of its shareholders.

The LLC and the Company hereby indemnify, severally and jointly, each Purchaser against, and agree that they will, severally and jointly, hold each such Purchaser harmless from any claim, demand or liability, including reasonable attorneys’ fees, for any broker’s, finder’s or placement fee or commission incurred by the LLC and/or the Company.
Brokerage Fees, etc. There is no Person acting or purporting to act for Webengine entitled to any brokerage or finder's fee in connection with this Agreement or any of the transactions contemplated herein and, in the event any Person acting or purporting to act for Webengine establishes a claim for any such fee from Callmate, Webengine covenants to indemnify and hold harmless Callmate with respect thereto and with respect to all costs reasonably incurred in the defence thereof.
Brokerage Fees, etc. There is no Person acting or purporting to act for Callmate entitled to any brokerage or finder's fee in connection with this Agreement or any of the transaction contemplated herein and, in the event any Person acting or purporting to act for Callmate establishes a claim for any such fee from Webengine, Callmate covenants to indemnify and hold harmless Webengine with respect thereto and with respect to all costs reasonably incurred in the defence thereof.
Brokerage Fees, etc. Except as set forth on Schedule 5.21, no broker’s, finders’ or placement fee or commission will be payable to any Person retained by or on behalf of HIG Capital or any Note Party or any representative of any such Person, with respect to any of the transactions contemplated by this Agreement. Each Note Party hereby jointly and severally indemnifies each Note Purchaser against and agrees that such Person will hold each such party harmless from any claim, demand or liability, including reasonable attorneys’ fees, for any broker’s, finder’s or placement fee or commission incurred by such indemnifying party or HIG Capital or a representative of such Person.

Brokerage Fees, etc. Other than as provided for in this Agreement, the Transaction Agreements, Grown Rogue Canada has not incurred any obligation or liability (absolute, accrued, contingent or otherwise) for brokerage fees, finder’s fees, underwriter’s or agent’s commission or other similar forms of compensation with respect to the transactions contemplated hereby.
